1. Application

These Net Rate Terms & Conditions apply to all bookings made by travel agents, wholesalers, tour operators or intermediaries (“Agent”) on behalf of guests at Rumi on Louth.

By accessing ROL’s trade portal or submitting a booking request, the Agent agrees to be bound by these Terms in addition to ROL’s Guest Booking Conditions.

2. Net Rates & Online Access

2.1 Net rates are made available to approved Agents via ROL’s online trade portal.

2.2 Net rates are confidential, non-commissionable and intended solely for resale to end guests.

2.3 Access credentials to ROL’s trade portal must not be shared, distributed or provided to third parties.

2.4 ROL reserves the right to suspend or revoke portal access at its discretion.

3. Seasonal & Dynamic Pricing

3.1 Net rates are seasonal and subject to availability.

3.2 Rates are valid only for the season and date range specified at the time of booking.

3.3 ROL reserves the right to amend future seasonal rates without prior notice.

3.4 Blackout dates, minimum stay requirements and package inclusions may vary by season.

3.5 A booking is not confirmed until written confirmation is issued by ROL.

4. Rate Integrity & Brand Protection

4.1 The Agent may determine its own resale margin.

4.2 The Agent must not:

• Publicly advertise ROL at materially discounted rates that damage brand positioning

• List ROL on flash-sale, opaque, or mass-discount platforms without written approval

• Disclose net rates to guests

4.3 ROL reserves the right to terminate trading privileges where rate integrity is breached.

5. Payment Terms

5.1 A 30% deposit of the total booking value is required at time of confirmation.

5.2 The remaining balance is due no later than 60 days prior to arrival.

5.3 Bookings made within 60 days of arrival require full payment at confirmation.

5.4 The Agent is liable for payment in full in accordance with due dates, regardless of whether the Agent has received funds from the guest.

5.5 ROL reserves the right to release inventory or cancel bookings where payment is not received by the due date.

6. Cancellations & Amendments

6.1 All cancellations and amendments are governed by ROL’s Guest Booking Conditions.

6.2 Cancellation penalties apply to the total booking value.

6.3 The Agent remains liable for all cancellation fees.

6.4 Amendments within 60 days of arrival are not permitted unless approved in writing.

7. Transfers & Remote Location Disclosure

7.1 ROL operates from a remote island location accessible via amphibious Sealegs vessel.

7.2 The Agent must ensure guests are informed that:

• Transfers are weather dependent

• Schedules may change for safety reasons

• Life vests are mandatory

• Arrival details must be confirmed at least 7 days prior

7.3 ROL is not liable for third-party airline or ground transport delays affecting arrival.

8. Confidentiality

All net rates, commercial terms and portal access credentials are confidential.

Disclosure to third parties is strictly prohibited.

9. Indemnity

The Agent indemnifies ROL against any loss, damage or claim arising from:

• Misrepresentation of inclusions

• Unauthorised discounting

• Failure to communicate booking terms

• Breach of these Terms

10. Termination

ROL may suspend or terminate trading privileges immediately where:

• Payment terms are breached

• Net rates are disclosed

• Brand positioning is compromised

• Portal access is misused

Confirmed bookings remain subject to these Terms.

11. Governing Law

These Terms are governed by the laws of South Australia and the parties submit to the jurisdiction of the courts of South Australia.
